Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the LocalCode platform, including all products, services, and content made available at localcode.ai and related subdomains (collectively, the “Service”), operated by LocalCode, LLC (“LocalCode,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
LocalCode is a legislative intelligence platform that provides access to structured municipal code, legislative chain data, ordinance linkage, and related legal research tools. The Service is currently in early access and pilot phase. Features, data coverage, and availability are subject to change.
Not legal advice. LocalCode provides informational data about publicly available legislative documents. Nothing in the Service constitutes legal advice, and LocalCode is not a law firm. You should consult qualified legal counsel before relying on any information from the Service for legal decisions.
2. Eligibility and Account Access
The Service is intended for professional and commercial use by attorneys, land use professionals, developers, and institutional entities. You must be at least 18 years old and have authority to bind yourself or your organization to these Terms.
Access to the Service, including the Austin Pilot Program, is granted at our sole discretion following an application and review process. We reserve the right to deny, suspend, or revoke access at any time for any reason.
You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. Notify us immediately at legal@localcode.ai if you become aware of any unauthorized use.
3. Pilot Program Terms
Access granted through the Austin Pilot Program is limited, non-exclusive, non-transferable, and revocable. Pilot access is provided without charge during the pilot period unless otherwise agreed in writing. We may modify, discontinue, or convert the pilot to a paid tier at any time with reasonable notice.
By participating in the pilot, you agree to provide feedback on the Service when reasonably requested. Feedback you provide may be used by us without restriction or compensation to improve the Service.
4. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use the Service in any manner that violates applicable law, infringes the rights of any third party, or interferes with the operation of the Service.
5. Intellectual Property
The Service, including all software, design, data compilations, organization, interfaces, and documentation, is owned by LocalCode or its licensors and is protected by copyright, trade secret, and other intellectual property laws.
Underlying legislative texts, ordinances, statutes, and other government documents are publicly available and are not owned by LocalCode. However, our structured data products, classification systems, and chain linkage data are proprietary.
You may use outputs from the Service for your own professional work, including legal research, briefs, reports, and client deliverables. You may not resell, sublicense, or redistribute LocalCode data products without our prior written consent.
6. API Access
If you are granted API access, your use is additionally governed by any API terms communicated to you at the time of access. API credentials are for your use only and may not be shared. Rate limits and data use restrictions apply as specified in your access agreement.
7. Data Accuracy
We work to ensure that data in the Service is accurate and current, but we make no warranty — express or implied — regarding the accuracy, completeness, timeliness, or fitness for any particular purpose of data provided through the Service. Legislative data is inherently complex and subject to frequent change; you are responsible for independently verifying any information before relying on it in legal, regulatory, or transactional contexts.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOCALCODE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CAUSE OF ACTION SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
10. Indemnification
You agree to indemnify, defend, and hold harmless LocalCode and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party right.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account by contacting us at legal@localcode.ai. Upon termination, your right to access the Service ceases immediately. Sections 5, 7, 8, 9, 10, and 12 survive termination.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction in those courts.

13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting a notice on the Service or sending an email to the address on file. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.
